Terms and Conditions

(Also trading as Nicholas James Property Maintenance & Cleaning Services)

These Terms and Conditions apply to the supply of goods and services by Nicholas James Home Improvements Ltd (”NJHI”).

1. DEFINITIONS
1.1 “Customer” means any person, company, or organisation that purchases goods or services from NJHI.
1.2 “Goods” means the materials and products specified in the Proposal.
1.3 “Services” means the work and services specified in the Proposal.
1.4 “Proposal” refers to the quotation, estimate, or other document provided by NJHI outlining the scope of work, costs, and materials.
1.5 “Terms and Conditions” means this document, including any agreed amendments in writing.

2. GENERAL
2.1 These Terms apply to all contracts between NJHI and the Customer.
2.2 Any variation must be agreed in writing by NJHI.
2.3 These Terms do not affect the Customer’s statutory rights.
2.4 No contract exists until a Proposal is accepted in writing by the Customer.

3. ORDERS & CANCELLATION
3.1 Proposals remain valid for 21 days.
3.2 An order is deemed accepted once the Customer confirms in writing.
3.3 Any order (verbal or written) constitutes acceptance of these Terms.
3.4 NJHI reserves the right to revise or withdraw any quotation before acceptance.
3.5 If a confirmed order is cancelled by the Customer, any costs already incurred (including materials, planning, and lost bookings) must be paid in full.
3.6 If a Customer cancels the job within an unreasonable timeframe, all deposits/payments made are non-refundable.

4. PRICE AND PAYMENT
4.1 Prices are as per the Proposal and include VAT (unless stated otherwise).
4.2 Payment must be made according to the terms specified in the Proposal.
4.3 Late payments will incur interest at 5% per month from the due date until paid.
4.4 NJHI may suspend work for non-payment without liability.
4.5 If payment is not made on time, the debt may be referred to a debt collection agency and subject to a 15% surcharge on the outstanding balance.
4.6 Any changes to the agreed works must be confirmed in writing and may be subject to additional costs.

5. DELIVERY OF GOODS
5.1 Delivery dates are estimates only. Time is not of the essence.
5.2 Risk passes to the Customer upon delivery.
5.3 Faulty goods must be reported within 1 day of delivery for replacement.
5.4 The Customer must be available to accept delivery when scheduled.

6. TITLE TO GOODS
6.1 Title remains with NJHI until full payment is received.
6.2 If payment is not received, NJHI may recover supplied goods or materials.
6.3 NJHI will not be liable for any damage caused during removal of unpaid items.

7. CUSTOMER OBLIGATIONS
To allow NJHI to carry out the work, the Customer must:
7.1 Provide reasonable cooperation.
7.2 Make the site available and ensure access to utilities.
7.3 Provide accurate and timely information.
7.4 Obtain any required permissions or consents.
7.5 Follow any other agreed conditions stated in the Proposal.

8. GUARANTEES & WARRANTIES
8.1 Materials will be of satisfactory quality and fit for purpose.
8.2 Services will be carried out with reasonable skill and care.
8.3 NJHI is responsible for tools and will ensure materials are defect-free.
8.4 Workmanship is guaranteed for the period specified in the Proposal.
8.5 Manufacturer warranties apply to goods supplied.
8.6 Services are guaranteed for the period specified in the Proposal.
8.7 NJHI holds valid Public Liability Insurance at all times.

9. LIMITATION OF LIABILITY
9.1 NJHI is not liable for loss beyond the contract price, except in the case of death or personal injury caused by negligence.
9.2 NJHI is not liable for indirect or consequential losses (e.g. loss of profits).
9.3 NJHI is not liable if goods/services are used for purposes not disclosed in writing before the Proposal.
9.4 NJHI does not guarantee any customer-supplied goods or materials.
9.5 NJHI will not be liable for missing a completion date unless explicitly agreed in writing.

10. FORCE MAJEURE
Neither party shall be liable for delays caused by circumstances beyond their control (e.g. weather, strikes, breakdowns, or material shortages). Time extensions may be granted in such cases.

11. SEVERANCE
If any clause is found invalid or unenforceable, the remainder of the Terms remain in force.

12. GOVERNING LAW
These Terms are governed by English law. Disputes will be subject to the exclusive jurisdiction of the English courts.

13. TRADING NAME
Nicholas James Property Maintenance trades under Nicholas James Home Improvements Ltd, a registered company in England and Wales.

Provide honest service by qualified professionals.
Comply with current legislation and safety standards.
Provide a clear quotation outlining all expected costs.
Schedule work at a mutually convenient time and be punctual.
Work neatly and leave areas clean and tidy.
Present ourselves professionally at all times.
Clearly explain future maintenance requirements.
Behave with integrity and transparency.
Respond to problems and complaints promptly.
Maintain full public liability insurance at all times.
Deliver on our promises.
Offer friendly, helpful and polite communication.
